CONSULT OUR EXPERTSThese Terms and Conditions ("Terms") govern the contractual relationship between Digi Interacts ("Company," "we," "us," or "our") and the client ("Client," "you," or "your") for all services provided by Digi Interacts.
By engaging our services, requesting a quote, or entering into any agreement with Digi Interacts, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between you and Digi Interacts.
If you do not agree with any part of these Terms, please do not engage our services or use our website. Continued use of our services indicates your acceptance of these Terms and any subsequent modifications.
"Services" refers to all development, design, consulting, maintenance, and related services provided by Digi Interacts, including but not limited to web development, mobile app development, software development, digital marketing, and technical support.
"Project" means the specific work to be performed by Digi Interacts as outlined in the project proposal, statement of work, or service agreement.
"Deliverables" refers to all work products, materials, and services to be provided by Digi Interacts under the agreed project scope.
"Client Materials" includes all content, data, information, graphics, and other materials provided by the client for use in the project.
"Confidential Information" means all non-public, proprietary information shared between parties during the course of the business relationship.
Digi Interacts provides professional technology services including web development, mobile application development, software development, digital transformation consulting, and related technical services. All services are performed according to industry standards and best practices.
Service Scope: Service Scope: The specific services to be provided will be detailed in individual project proposals, statements of work, or service agreements. Any changes to the agreed scope must be documented and approved by both parties.
Quality Standards: We commit to delivering services that meet professional industry standards and agreed specifications. All deliverables undergo quality assurance testing before delivery to ensure functionality and performance requirements are met.
Service Modifications: Changes to project scope, timeline, or deliverables may result in additional costs and extended timelines. All modifications must be agreed upon in writing before implementation.
Information Provision: Clients must provide accurate, complete, and timely information necessary for project completion. This includes content, specifications, feedback, and access to required systems or accounts.
Timely Feedback: Clients are responsible for providing feedback and approvals within agreed timeframes. Delays in client feedback may impact project timelines and delivery dates.
Content Responsibility: Clients are responsible for ensuring all provided content is accurate, legal, and does not infringe on third-party rights. Clients must have proper rights and permissions for all materials provided.
System Access: When required, clients must provide necessary access to hosting accounts, domain management, existing systems, or third-party services needed for project completion.
Payment Obligations: Clients must make payments according to agreed payment schedules and terms outlined in project agreements.
Payment Schedule: Payment terms are specified in individual project agreements. Typical arrangements include milestone-based payments, monthly retainers, or full payment upon completion, depending on project scope and duration.
Payment Methods: We accept payments through bank transfers, online payment systems, and other mutually agreed methods. All payments should be made in the currency specified in the project agreement.
Late Payments: Late payments may result in project suspension, additional charges, or termination of services. Interest charges may apply to overdue amounts as permitted by applicable law.
Refund Policy: Refunds are handled on a case-by-case basis according to project agreements. Completed work and delivered services are generally non-refundable.
Expense Reimbursement: Any project-related expenses incurred on behalf of clients will be billed separately unless otherwise agreed in writing.
Client Content: Clients retain ownership of all content, data, and materials provided to Digi Interacts. We obtain limited rights to use client materials solely for project completion and service delivery.
Developed Solutions: Upon full payment, clients receive ownership rights to custom-developed solutions created specifically for their projects, excluding any pre-existing tools, frameworks, or methodologies used by Digi Interacts.
Company Assets: Digi Interacts retains ownership of all proprietary tools, methodologies, frameworks, and general knowledge used in service delivery. These assets remain our intellectual property regardless of project outcomes.
Third-Party Components: Some projects may incorporate third-party software, plugins, or services. Clients are responsible for obtaining necessary licenses for continued use of such components.
Portfolio Rights: Digi Interacts reserves the right to showcase completed projects in our portfolio and marketing materials unless specifically restricted by confidentiality agreements.
Information Protection: Both parties agree to maintain confidentiality of all proprietary and sensitive information shared during the business relationship. This includes business strategies, technical specifications, financial information, and other confidential data.
Use Restrictions: Confidential information may only be used for the specific purposes of the project and may not be disclosed to third parties without written consent from the disclosing party.
Employee Obligations: All Digi Interacts team members working on client projects are bound by confidentiality obligations and professional ethics standards.
Data Security: We implement appropriate security measures to protect client data and information from unauthorized access, disclosure, or misuse.
Duration: Confidentiality obligations continue beyond project completion and remain in effect unless information becomes publicly available through no fault of the receiving party.
Timeline Estimates: Project timelines are estimates based on agreed scope and client cooperation. Actual completion times may vary due to project complexity, change requests, or unforeseen circumstances.
Milestone Delivery: Projects are typically delivered in phases or milestones as outlined in project agreements. Each milestone requires client approval before proceeding to the next phase.
Delay Factors: Delays caused by client feedback, content provision, or external dependencies may impact overall project timelines. We will communicate any potential delays promptly.
Force Majeure: Digi Interacts is not liable for delays caused by circumstances beyond our reasonable control, including natural disasters, government actions, or other force majeure events.
Delivery Method: Deliverables will be provided through agreed methods such as secure file transfer, staging environments, or direct deployment to client systems.
Service Limitations: While we strive for excellence, Digi Interacts makes no warranties regarding uninterrupted service, complete error-free operation, or specific performance outcomes.
Liability Cap: Our total liability for any project or service engagement is limited to the total amount paid by the client for the specific project in question.
Consequential Damages: Digi Interacts is not liable for indirect, incidental, consequential, or punitive damages arising from service provision or project outcomes.
Third-Party Services: We are not responsible for the performance, availability, or functionality of third-party services, platforms, or tools used in client projects.
Client Responsibilities: Clients are responsible for maintaining backups, ensuring data security, and implementing appropriate business continuity measures for their systems and data.
Termination Rights: Either party may terminate the agreement with written notice if the other party materially breaches the terms and fails to remedy the breach within a reasonable timeframe.
Client Cancellation: Clients may cancel projects with written notice. Cancellation may result in charges for completed work and non-refundable expenses incurred up to the cancellation date.
Work Product: Upon termination, clients receive all completed work products and deliverables for which payment has been made. Incomplete work may be provided at our discretion.
Return of Materials: Both parties will return or destroy confidential information and materials belonging to the other party upon termination, except as required for legal or accounting purposes.
Survival Clauses: Confidentiality, intellectual property, payment obligations, and limitation of liability clauses survive termination of the agreement.
Good Faith Resolution: Both parties agree to attempt resolution of disputes through good faith discussions and negotiation before pursuing formal legal action.
Governing Law: These Terms are governed by the laws of India, and any disputes will be resolved through the appropriate legal system in India.
Jurisdiction: Any legal proceedings related to these Terms or our services will be conducted in the courts of India, and both parties consent to this jurisdiction.
Alternative Resolution: Parties may agree to resolve disputes through mediation or arbitration as an alternative to court proceedings.
Limitation Period: Any claims or disputes must be brought within one year of the date the claim arose, or such claims will be barred.
Entire Agreement: These Terms, along with specific project agreements, constitute the entire agreement between parties and supersede all prior negotiations, representations, or agreements.
Modifications: Changes to these Terms must be made in writing and signed by both parties. We may update these Terms periodically, with notice provided to clients.
Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
Assignment: Digi Interacts may assign or transfer these Terms and related obligations to affiliates or successors. Clients may not assign their rights without our written consent.
Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights under the agreement.
